These Terms and Conditions (the "Sales Associates Agreement") govern the Referral Program that is made available by Techworks Software Solutions, Co. Ltd. ("techworks.com.ph", "we" or "us"). These Terms and Conditions represent the whole agreement and understanding between Techworks and the individual or entity who participates in the Referral Program (the "Sales Associate", or "you").
Please read this agreement carefully as it represents a legally binding agreement between you and Techworks. By submitting your application and by your use of the Referral Program, you agree to comply with all of the terms and conditions set out in this Sales Associates Agreement. Techworks may terminate your Sales Associate Account at any time, with or without notice, for conduct that is in breach of this Sales Associates Agreement, for conduct that Techworks believes is harmful to its business, or for conduct where the use of the Referral Program is harmful to any other party.
The Sales Associate is required to register for the Referral Program in order to have a secured Sales Associate Account on our website and access the Sales Associate Dashboard.
Techworks will then provide the Sales Associate with an Entry Form on the Sales Associate Dashboard where the Sales Associate can submit the details of the new prospective client.
The Sales Associate may also choose to contact Techworks by Phone, Live-Chat, SMS Text Messages, or by Email for assistance on submitting the details of the new prospective client being referred. After the Sales Associate's account has been verified, Techworks will then facilitate the referral submission as requested by the Sales Associate and make sure that the referral will be added to the Sales Associate's Referral List.
The submitted referral will then be verified by Techworks by contacting the client to confirm that the Sales Associate has contacted them already to introduce Techworks and its products or Citrus Accounting Software which will make the referral valid and will be credited to the Sales Associate's Account for earning referral commissions.
A referral will become eligible for payout ("Eligible Referral") after the client's payment has been cleared and if it meets all of these criteria:
The referral makes a purchase of the Citrus Accounting Annual Subscription Plan with a term that is one year and has paid in full. The referral's account remains active and in good standing. The referral's account has not had any of its payments refunded, charged back or otherwise reversed.
Failure to meet any of these criteria will permanently void the referral and disqualify the referral from any potential payouts.
The Sales Associate is entitled to receive a Referral Commission of Five Thousand Pesos (PHP 5,000.00) for each active Eligible Referral that is recorded in the Sales Associate Dashboard ("Sales Associate Fee"). Sales Associate Fees will be payable only when the Sales Associate has at least One Eligible Referral that is pending payout.
All Sales Associate Fee payments will be payable in Philippine Pesos only, except as otherwise determined by Techworks in its sole discretion. Payment will be made through Bank Deposits or Remittances against a valid invoice issued by the Sales Associate using the invoice generation and submission tool located in the Sales Associate Dashboard. The Sales Associate is responsible for providing Techworks with the full and accurate details that are required to remit the Sales Associate Fees, and is solely responsible for any delays in payment resulting from its failure to do so.
In the event of any activity deemed suspicious by Techworks, Techworks may delay the payment of Sales Associate Fees by up to 3 calendar months to verify the relevant transactions. Techworks reserves the right to recalculate, void, or disqualify any referrals or Sales Associate Fees in the event of any fraudulent, deceptive or otherwise illegal activity.
Techworks hereby grants the Sales Associate a non-exclusive, non-transferable, limited license to use the Techworks logos for the sole purpose of promoting our products within the context of the Referral Program. This license will expire upon termination of the Sales Associate's participation in the Referral Program.
The Sales Associate may only display advertisements that contain Techworks' logos or product marks in good taste. The Sales Associate may not use Techworks' logos or product marks in a manner that, in Techworks' sole discretion, portrays Techworks in negative light.
The Sales Associate will be solely responsible for its own marketing activities. All marketing activities must be professional and in full compliance with all applicable laws.
Techworks may, without prior notice, require the Sales Associate to remove or modify any advertisements in Techworks' sole discretion.
The Sales Associate may terminate the Sales Associate's participation in the Referral Program with immediate effect by giving the other party a written notice of termination.
Techworks reserves the right to terminate the Sales Associate's participation in the Referral Program at any time for conduct that is in material breach of this Sales Associates Agreement or for conduct that Techworks, in its sole discretion, deems to be harmful to its business or any third party.
Upon termination, the Sales Associate will lose access to its Sales Associate Dashboard and will forfeit all potential or unpaid Sales Associate Fees.
Techworks and the Sales Associate are independent contractors. Nothing in this Sales Associates Agreement will create any partnership, employment, representative, agency, or joint venture relationship between the parties. The Sales Associate has no authority to act on Techworks' behalf.
The Referral Program is provided on an "as is" and "as available" basis and the use of the Referral Program is at the Sales Associate's own risk. Techworks makes no representations or warranties, either expressed or implied, with respect to the Referral Program, or any service or information provided through the Referral Program.
Techworks is not responsible for any damages, injury or economic loss arising from the use of Referral Program. Should any part of the Referral Program cause damage or inconvenience to the Sales Associate or anyone claiming through the Sales Associate, the Sales Associate assumes responsibility and the entire cost for them.
The Sales Associate will indemnify and hold harmless Techworks, its President, Manager, Employees, and third parties from and against any losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to the Sales Associate's or any third party's operations or use of the Referral Program.
Techworks may, in its sole discretion, change or modify this Sales Associates Agreement at any time, with or without notice. Such changes or modifications shall be made effective for all Sales Associates upon posting of the modified Sales Associates Agreement to this web address: https://techworks.com.ph. The Sales Associate is responsible for reading this document from time to time to ensure that its use of the Referral Program remains in compliance with this Sales Associates Agreement.
If any modification is unacceptable to the Sales Associate, its sole recourse shall be to terminate this Sales Associates Agreement. The Sales Associate's continued participation in the Referral Program will constitute binding acceptance of such modifications.
The Sales Associate warrants and represents that he or she is over the age of 21 years old and is qualified to enter into this Sales Associates Agreement.
The Sales Associate warrants and represents that its actions and its participation in the Referral Program is in compliance with all applicable laws, rules, regulations, and any requirements of governmental authority at all times. Techworks reserves the right to terminate the Sales Associate's participation in the Referral Program if Techworks determines, in its sole discretion, that the Sales Associate's actions or its participation in the Referral Program is in violation of any laws, rules, regulations, or any requirements of governmental authority.
This Sales Associates Agreement constitutes the entire understanding between Techworks and the Sales Associate. This Sales Associates Agreement supersedes any other contracts or understandings between the parties hereto and neither party shall be bound by any statements or representations that are not embodied in this Agreement.
Any dispute arising in relation to this Sales Associates Agreement shall be exclusively resolved in the Courts of the Republic of the Philippines.
